Business and IP Legal Counsel
Talascend is currently seeking a Business and IP Legal Counsel for a direct hire opportunity with our client in Los Alamos, New Mexico.
Overview
The role involves providing legal expertise in business and intellectual property matters, supporting the organization’s legal and operational needs. The counsel will collaborate with various teams to ensure compliance, manage legal risks, and develop strategies aligned with the organization’s mission.
Responsibilities
- Draft and review legal documents, including contracts, leases, terms and conditions, memoranda of law, legal opinions, proposed regulations, management directives, and correspondence.
- Support negotiations with outside entities and their attorneys, including subcontractors, claimants, litigants, and federal, state, tribal, and local government agencies.
- Provide practical legal advice and counsel on complex legal matters, ensuring effective legal risk management.
- Serve as a functional lead within your domain of expertise, demonstrating advanced subject matter knowledge.
- Mentor junior attorneys, paralegals, and staff, offering operational guidance and support.
- Work independently with minimal management oversight while demonstrating strong leadership skills.
Qualifications
- Juris Doctorate Degree from an ABA-accredited law school.
- Membership in good standing with the State Bar of New Mexico or another state bar, with an expectation to obtain a New Mexico license within one year if not already licensed.
- Minimum of 12 years of legal experience in transactional legal areas, including contracts, acquisitions, and procurements.
- Knowledge of laws governing practice areas such as commercial contracts, federal contracting, prime contract management, acquisition services, construction law, and international transactions.
- Strong interpersonal, oral, and written communication skills, with the ability to interact effectively across all organizational levels.
- Experience with legal research tools (e.g., Westlaw), AI-enabled solutions, legal matter management systems, and collaboration platforms.
Preferred Qualifications
- Advanced contract experience, especially related to federal government contracts and federally funded research centers (FFRDC).
- Experience advising federal facilities or contractors, with a background in government and commercial contracts.
- Experience providing operational guidance and mentoring to legal staff and less experienced attorneys.
- Strong negotiation skills and experience in counseling clients regarding developments and options in negotiations.
